Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and ThynkWISE.ai (ThynkWISE Advisors Private Limited) (“ThynkWISE.ai”, “we”, “us” or “our”) governing your access to and use of the website at https://www.thynkwise.ai (the “Site”) and our related services (the “Services”). By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Scope of services

The Site describes our offerings, which may include consulting and execution engagements, the AI & Business Acceleration platform, AI-as-a-Service (including conversational AI and interactive avatars), automation, cloud and digital-transformation services, and related subscription features. Availability of any specific offering is confirmed in a written proposal, order or subscription agreement.

2. Engagements & orders

Content on the Site is provided for information only and does not constitute a binding offer. Any engagement is subject to a separate written agreement (a proposal, statement of work, order form or subscription agreement) that sets out the applicable scope, deliverables, service levels, fees and terms. In the event of conflict, that agreement prevails over these Terms for the engagement it governs.

3. Pricing, quotations & taxes

• Any pricing shown on the Site is indicative and provided for general guidance only.
• Enterprise and consulting pricing is custom and scoped to your requirements.
• Pricing, packaging and features may change at any time without notice.
• Prices are exclusive of taxes, levies and duties (including GST) unless expressly stated; these are payable in addition where applicable.
• A formal written quotation, order or agreement supersedes any price shown on the Site, which does not create a binding commitment.

4. Payment, subscriptions & renewals

Where you purchase a subscription or paid Service, fees, billing frequency, currency and payment terms are set out in the applicable order or subscription agreement. Unless that agreement states otherwise, fees are payable in advance, subscriptions may renew for successive terms, and you are responsible for keeping billing information accurate. Late or non-payment may result in suspension as described in section 12.

5. Refunds

Unless required by law or expressly stated in your order or subscription agreement, fees are non-refundable once the applicable Service period has begun. Any refund or credit terms are governed by that agreement.

6. Acceptable use

You agree not to:

• Use the Site or Services for any unlawful, harmful, infringing or fraudulent purpose.
• Attempt to gain unauthorised access to, disrupt, overload or reverse-engineer the Site or Services.
• Scrape, harvest or extract data at scale, or use automated means except as expressly permitted.
• Introduce malware, or interfere with security, integrity or availability.
• Misuse AI features — including to generate unlawful, harmful, deceptive or infringing content, or to attempt to extract underlying models or training data.

7. Customer responsibilities & AI inputs

You are responsible for the information you submit and for ensuring you have the right to share it. Do not submit sensitive, confidential, regulated or third-party personal data into any AI demo, prompt, chat or uploaded document. You are responsible for evaluating and validating any output before relying on it.

8. AI features & outputs

Certain features are powered by artificial intelligence and third-party AI/avatar providers. AI outputs are generated automatically, are probabilistic, and may be inaccurate, incomplete or unsuitable for your purpose. They are provided “as is”, do not constitute professional advice, and must be independently verified. We do not warrant any particular result from AI features. Your use of third-party AI/avatar tools may also be subject to those providers’ terms.

9. Intellectual property

The Site and its content — including text, graphics, logos, trademarks, designs, software and the arrangement of them — are owned by ThynkWISE.ai or its licensors and are protected by intellectual-property laws. Except for ordinary browsing and internal reference, you may not copy, reproduce, distribute, modify or create derivative works from the Site without our prior written permission. All rights not expressly granted are reserved.

10. Third-party services, links & group properties

The Site links to independent ThynkWISE group properties (including Execution Consulting at thynkwise.co.in and the Academy at thynkwiseacademy.com) and integrates third-party tools such as interactive AI avatars and analytics. We are not responsible for the content, policies, availability or acts of third parties, and your use of them may be governed by their own terms.

11. Illustrative figures & testimonials

Case studies, metrics, ROI figures, calculator outputs and testimonials shown on the Site are illustrative of typical engagements and provided for guidance only. They are not promises, forecasts or guarantees of any particular result, which depends on your specific circumstances.

12. Suspension & termination

We may suspend or restrict access to the Site or Services, in whole or in part, where we reasonably believe there is a security risk, unlawful or prohibited use, non-payment, or a material breach of these Terms or an applicable agreement. Engagement or subscription termination is governed by the applicable agreement. You may stop using the Site at any time.

13. Warranty disclaimer

The Site is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement and any warranties arising from course of dealing, to the fullest extent permitted by law.

14. Limitation of liability

To the maximum extent permitted by law, ThynkWISE.ai and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or relating to your use of the Site — whether based in contract, tort or otherwise — even if advised of the possibility. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15. Indemnification

You agree to indemnify and hold harmless ThynkWISE.ai and its officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from your misuse of the Site, your content or inputs, or your breach of these Terms or applicable law.

16. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil unrest, labour disputes, failures of utilities, internet or third-party providers, cyber-attacks, or governmental action.

17. Privacy

Your use of the Site is also governed by our Privacy Policy and Cookie Policy.

18. Governing law & jurisdiction

These Terms are governed by the laws of India, and the courts of Pune, Maharashtra, India have exclusive jurisdiction over any dispute arising from or relating to the Site or these Terms, subject to any mandatory rights available to you under applicable local law.

19. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
